InOut Attendance Agreement
and Privacy Policy
This InOut Attendance Online
Agreement (the "Agreement") is entered into by and between ValeProg di
Valerio Negri
with offices at Via Cervi n.40 Cap 46044 Goito(MN) Italy
("ValeProg") and the entity agreeing to these terms ("Customer"). This Agreement
is effective as of the date you click the "I Accept" button below (the
"Effective Date"). If you are accepting on behalf of your employer or another
entity' you represent and warrant that: (i) you have full legal authority to
bind your employer' or the applicable entity' to these terms and conditions;
(ii) you have read and understand this Agreement; and (iii) you agree' on behalf
of the party that you represent' to this Agreement. If you don't have the legal
authority to bind your employer or the applicable entity' please do not click
the "I Accept" button below. This Agreement governs Customer's access to and use
of the Services.
1. Services
InOut Attendance is a
software as a service that provides Customer with an easy to use employee time
and attendance.
With it Customer can:
- Maintain records of company
employees and track their time and attendance information.
- Enable your employees to
clock in and out using a simple code.
- Collect your time and
attendance information at multiple computers while being connected to a single
database.
- Generate reports showing
hours worked, and export it to Excel or CSV file.
2. Terms
This Agreement has a duration
of 12 months and renewal automatically unless arranged by the customer via
email.
InOut Attendance services may
be free or paid based on the number of employees managed, as indicated in the
information page.
ValePorg may increase or
decrease the maximum number of employees managed according to customer payment.
3. Warranty
InOut Attendance solution is
provided to the Customer AS IS and ValeProg makes no warranty as to its use or
performance. ValeProg AND ITS SUPPLIERS DO NOT AND CANNOT WARRANT THE
PERFORMANCE OR RESULTS CUSTOMER MAY OBTAIN BY USING THE SOFTWARE OR
DOCUMENTATION. ValeProg AND ITS SUPPLIERS MAKE NO WARRANTIES, EXPRESS OR
IMPLIED, AS TO NONINFRINGEMENT OF THIRD PARTY RIGHTS, MERCHANTABILITY, OR
FITNESS FOR ANY PARTICULAR PURPOSE. IN NO EVENT WILL ValeProg OR ITS SUPPLIERS
BE LIABLE TO Customer FOR ANY CONSEQUENTIAL, INCIDENTAL OR SPECIAL DAMAGES,
INCLUDING ANY LOST PROFITS OR LOST SAVINGS, EVEN IF A ValeProg REPRESENTATIVE
HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY
THIRD PARTY.
4. Governing Law and General
Provisions.
This Agreement will be
governed by the laws of the Italy, excluding the application of its
conflicts of law rules. This Agreement will not be governed by the United
Nations Convention on Contracts for the International Sale of Goods, the
application of which is expressly excluded. If any part of this Agreement is
found void and unenforceable, it will not affect the validity of the balance of
the Agreement, which shall remain valid and enforceable according to its terms.
This Agreement shall automatically terminate upon failure by you to comply with
its terms. This Agreement may only be modified in writing signed by an
authorized officer of ValeProg.
5. Privacy Policy
Personal information
You need a InOut
Account to use InOut Attendance. ValeProg asks for some personal information
when you create a InOut Account, including your alternate contact information
and a password, which is used to protect your account from unauthorized access.
A InOut Account allows you to access many of our services that require
registration.
When you use InOut Attendance,ValeProg's servers automatically record certain
information about your use of the services. Similar to other web services,
ValeProg records information such as account activity (including storage usage,
number of log-ins), data displayed or clicked on (including UI elements, ads,
links); and other log information (including browser type, IP-address, date and
time of access, cookie ID, and referrer URL).
Uses
ValeProg maintains
information provided as part of InOut Attendance to provide service to you and
your users and to improve our services.
ValeProg may send you
information related to your InOut Attendance account or other ValeProg services.
Information sharing and
onward transfer
ValeProg do not sell,
rent your personal information with any third parties except when we believe we
are required to do so by law.
Your choices
You may change your
InOut Account settings through the InOut Attendance Control Panel.
